Terms of Service

These Terms of Service ("Terms") govern your use of Members Warehouse ("we", "us", "our") operated at www.memberswarehouse.com.au. By accessing or using our platform you agree to be bound by these Terms.

1. About Members Warehouse

Members Warehouse is an online marketplace that connects private sellers and dealerships with buyers of cars, boats and motorbikes in Australia. We provide a platform for listing and discovering vehicles — we are not a party to any transaction between buyers and sellers.

2. Eligibility

To use Members Warehouse you must:

• Be at least 18 years of age
• Be an Australian resident or have authority to sell vehicles in Australia
• Have the legal right to sell any vehicle you list
• Provide accurate and complete information when registering

3. Membership and Subscriptions

Plans

Members Warehouse offers three membership plans:

• Solo Listing — $19.99 AUD/month — 1 active listing
• Multi Listing — $49.99 AUD/month — up to 5 active listings
• Dealer Pro — $99.00 AUD/month — up to 20 active listings

Billing

Subscriptions are billed monthly in advance. Payment is processed securely by Stripe. By subscribing you authorise us to charge your payment method on a recurring monthly basis until you cancel.

Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.

Price Changes

We reserve the right to change subscription prices with 30 days notice. Continued use after a price change constitutes acceptance of the new price.

4. Listings

Your Responsibilities

When creating a listing you agree to:

• Only list vehicles you legally own or have authority to sell
• Provide accurate, truthful and complete information about the vehicle
• Use genuine photos of the actual vehicle being sold
• Disclose any known defects, damage or issues
• Respond promptly to buyer inquiries
• Remove or mark as sold listings that are no longer available
• Comply with all applicable Australian laws regarding vehicle sales

Prohibited Listings

You must not list:

• Stolen or illegally obtained vehicles
• Vehicles with outstanding finance without disclosure
• Vehicles that are unroadworthy or unregistered without disclosure
• Replica or fraudulently described vehicles
• Anything that is not a car, boat or motorbike

5. Buyer Responsibilities

As a buyer using Members Warehouse you agree to:

• Conduct your own due diligence before purchasing any vehicle
• Arrange independent inspections and vehicle history checks
• Negotiate and transact directly with sellers at your own risk
• Not make false or misleading offers

6. Fees and Refunds

Members Warehouse charges subscription fees for access to the platform. We do not charge commission on vehicle sales. Subscription fees are non-refundable except where required by Australian Consumer Law.

7. Prohibited Conduct

You must not:

• Create false or misleading listings
• Spam or harass other users
• Attempt to circumvent our platform to avoid fees
• Use automated tools to scrape or copy our data
• Impersonate another person or business
• Use our platform for any unlawful purpose
• Post offensive, defamatory or inappropriate content

8. Intellectual Property

All content on Members Warehouse including design, logos, text and software is owned by or licensed to us. You retain ownership of content you upload but grant us a licence to display it on our platform.

9. Limitation of Liability

To the maximum extent permitted by Australian law, Members Warehouse is not liable for:

• Any transaction between buyers and sellers on our platform
• The accuracy or completeness of any listing
• Any loss or damage arising from use of our platform
• Any indirect, consequential or special damages

10. Australian Consumer Law

Nothing in these Terms limits your rights under the Australian Consumer Law. If you are a consumer, you may have statutory guarantees that cannot be excluded.

11. Termination

We reserve the right to suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity or for any other reason at our discretion. You may terminate your account at any time by cancelling your subscription and contacting us.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on our site. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia.
